Agreement Parties

These terms are between A.B. Sidhu & A.A. Swan, trading as WhiteHorse AI, ABN 92 922 819 079, Suite 1B, Level 8/10 Bridge St, Sydney NSW 2000 (Service Provider), and you, the customer or business using the service (Client).

Service

GHL Telegram Agent is a subscription software service that lets you interact with your HighLevel account through Telegram. You are responsible for creating and limiting your HighLevel Private Integration Token. The service can receive text, images, documents, and voice notes, interpret your request, and use permitted HighLevel API routes available to the token and location you connect.

Account Setup and Authority

You must provide accurate onboarding information, including your email, business details, Telegram setup code, HighLevel location ID, and Private Integration Token. You confirm that you have authority to connect the relevant HighLevel account and to instruct the agent to access or modify records inside that account.

You choose the agent access mode during setup. In approval mode, read actions may run directly and non-read actions require confirmation in Telegram. In full-access mode, the agent may run permitted HighLevel actions directly within the scopes of your Private Integration Token. You remain responsible for the access scopes you grant in HighLevel and for reviewing the outcomes of agent actions.

Subscription, Credits, and Overage

The subscription is $50 USD per month. It includes 150 AI credits each month. Usage above the included credits is billed at cost through Stripe metered billing or another billing method we reasonably notify you about. Credits are used to help measure AI model, media processing, and automation usage. Unused credits do not roll over unless we expressly agree in writing.

You authorise us and Stripe to charge the subscription fee and any applicable overage, taxes, card fees, or failed-payment recovery amounts. The service may be paused, limited, or cancelled if payment fails, usage is abusive, or continuing service would create security, fraud, platform, legal, or operational risk.

Client Responsibilities

You must keep Telegram, Stripe, HighLevel, and related account credentials secure. You should create a HighLevel token with only the scopes you want this assistant to use, rotate or revoke tokens when staff leave, and avoid sending unnecessary sensitive personal information through Telegram. You are responsible for your team members, contractors, and anyone else who uses the bot through your connected Telegram chat.

You must not use the service for unlawful activity, harassment, spam, deceptive marketing, unauthorised access, scraping, credential sharing, regulated advice, or any action that breaches HighLevel, Telegram, Stripe, Meta, AWS, or AI model provider terms.

AI Outputs and Automation

AI outputs can be incomplete, inaccurate, delayed, or inappropriate for your specific circumstances. You should review important outputs before relying on them. The agent may misunderstand instructions, uploaded media, HighLevel data, or third-party platform responses. We do not guarantee that every requested action will be completed, or that every HighLevel route will be available for every token, location, or account.

Third-Party Services

The service depends on Telegram, HighLevel, Stripe, AWS, Meta, and AI model providers. Availability, pricing, rate limits, API behaviour, policy enforcement, and outages of those platforms are outside our direct control. We may change integrations, models, infrastructure, limits, or workflows where needed to keep the service secure, compliant, and commercially viable.

Data, Security, and Privacy

Our privacy policy explains what data we collect, why we collect it, and how to contact us about privacy requests. You authorise us to process Telegram messages, uploaded media, HighLevel data, billing records, attribution data, logs, and generated outputs to provide, secure, improve, and bill for the service.

Intellectual Property

We own the service, software, workflows, prompts, documentation, branding, and related intellectual property. You retain ownership of your business data and HighLevel content. You grant us the limited rights needed to host, process, transmit, transform, and display your data to provide the service.

Cancellation and Termination

You may cancel future renewals according to the cancellation page. We may suspend or terminate access if you breach these terms, fail to pay, misuse the service, create security or platform risk, or if a required third-party service becomes unavailable or commercially unreasonable to support.

Disclaimers and Liability

To the maximum extent permitted by law, the service is provided on an as-is and as-available basis. We exclude warranties that the service will be uninterrupted, error-free, or suitable for every business process. Nothing in these terms excludes rights that cannot be excluded under applicable law.

To the maximum extent permitted by law, we are not liable for indirect, consequential, special, punitive, loss of profit, loss of revenue, loss of goodwill, loss of data, or business interruption damages. Our total aggregate liability for claims relating to the service is limited to the amounts you paid us for the service in the three months before the event giving rise to the claim.

Governing Law

These terms are governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and applicable Australian federal courts.
